These Terms & Conditions (“Agreement”) govern your access to and use of the Midnight Mahj website (“Site”) and your registration for and attendance at any events, workshops, classes, sessions, or activities (collectively, “Events”) offered by Midnight Mahj, LLC, a Delaware limited liability company (“Midnight Mahj,” “we,” “us,” or “our”). By accessing the Site, purchasing a ticket, or participating in an Event, you agree to be legally bound by this Agreement. If you do not agree to these terms, do not use the Site or participate in any Events.

1. Acceptance of Terms

By accessing the Site, purchasing a ticket, or participating in an Event, you agree to these Terms…

a. Are at least 18 years old (unless attending a permitted minor Event with parental consent);
b. Have the legal capacity to enter into a binding contract; and
c. Agree to comply with all terms and policies referenced herein, including our Privacy Policy.

Participation by minors (under age 18) requires a parent or guardian’s consent and compliance with additional safety provisions.

2. Registration, Tickets & Payments

a. Registration: All Event registrations and ticket purchases are subject to availability and must be completed according to the instructions on the Site.
b. Accuracy of Information: You agree to provide accurate, current, and complete registration and payment information.
c. Payment: Tickets and Event fees must be paid in full at the time of purchase. Midnight Mahj may cancel unpaid registrations.
d. Ticket License: Tickets are a limited, revocable license subject to these Terms and may not be resold or transferred without Midnight Mahj’s prior written approval.

3. Refunds, Cancellations & Transfers

All purchases, cancellations, and any applicable credits or refunds are governed by our Refund & Returns Policy, available at www.midnightmahj.com/refundandreturnspolicy, which is incorporated into these Terms by reference.

a. All sales are final unless otherwise stated at the time of purchase or required by law.
b. Midnight Mahj may cancel or reschedule an Event (including due to weather, public health orders, or force majeure). We will provide reasonable notice and, if applicable, refund or credit ticket holders per our policies.
c. If you cannot attend, any transfer of tickets or credits is subject to Midnight Mahj’s prior written approval and any applicable ees.

4. Participation Guidelines; Code of Conduct

a. You agree to comply with all Event rules, venue policies, and safety protocols.
b. Midnight Mahj reserves the right to refuse admission, revoke Event access, or remove anyone whose behavior is disruptive, unsafe, or inappropriate.
c. You are responsible for the conduct of any guests you bring.

5. Assumption of Risk & Waiver of Liability

a. Assumption of Risk: Events may involve physical activity, crowds, loud sounds, lighting effects, or other inherent risks. You voluntarily assume all such risks.
b. Waiver: To the fullest extent permitted by law, you release Midnight Mahj and its officers, members, employees, agents, contractors, venues, and affiliates from all liability for loss, injury, or damage that may result from your participation in any Event or use of the Site, whether caused by negligence or otherwise.

Nothing in this Agreement excludes liability for gross negligence, fraud, intentional harm, or any liability that cannot legally be excluded.

6. Photo & Media Release

Participation in Events may involve photography or recording.

Details regarding media use, opt-out procedures (if any), and participant rights are set forth in our Photo and Media Release Policy, which is incorporated herein by reference and made part of these Terms.

7. Intellectual Property

All content, materials, branding, and information provided through the Site, our Events, or our communications (including emails, social media, and promotional materials) are the property of Midnight Mahj and may not be copied, reproduced, distributed, or used without our prior written permission.

8. Privacy & Personal Information

Use of your personal information is governed by our Privacy Policy, incorporated herein by reference.

9. Disclaimers

The Site and Events are provided “as is” without warranties of any kind, whether express or implied. We do not warrant that Site functions will be uninterrupted or error-free.

10. Indemnification

You agree to defend, indemnify, and hold harmless Midnight Mahj and its affiliates from all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your breach of this Agreement or your actions at Events.

11. Changes to Terms

We may amend these Terms from time to time. Changes will be posted on the Site with an updated effective date. Continued use after changes constitutes acceptance.

12. Governing Law; Dispute Resolution

These Terms and any disputes arising out of or related to them are governed by the laws of the State of Delaware, without giving effect to conflict of law principles. Any legal action or proceeding must be brought in the courts located in Delaware.

13. Severability

If any provision is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.

14. Entire Agreement

This Agreement, together with our Privacy Policy, Photo and Media Release Policy, and any event-specific terms, constitutes the entire agreement between you and Midnight Mahj, LLC.
