By purchasing, enrolling in, accessing, renewing, participating in, or otherwise using an Honor Tile Society Membership ("Membership"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions ("Agreement"). This Agreement constitutes a binding legal contract between you ("Member") and Midnight Mahj ("Midnight Mahj," "we," "us," or "our").
1. Membership Program
The Honor Tile Society is an annual membership program that provides eligible members access to certain benefits, discounts, credits, early registration opportunities, member experiences, and other perks as determined by Midnight Mahj.
Membership benefits are offered as a privilege of participation and do not create any vested rights or ownership interest in any benefit, event, discount, credit, or offering.
2. Membership Term
Membership is valid for one (1) year from the enrollment date unless otherwise specified by Midnight Mahj.
All Membership benefits expire at the end of the applicable Membership term and do not carry over into future Membership periods.
3. Membership Fees
Membership fees are billed annually at the rate in effect at the time of enrollment or renewal.
The advertised Founding Member rate is a limited-time promotional offer and may be modified, suspended, or discontinued at any time.
All Membership fees are charged in U.S. dollars and are non-refundable except where required by applicable law.
4. Automatic Renewal Authorization
BY ENROLLING IN MEMBERSHIP, MEMBER EXPRESSLY AUTHORIZES MIDNIGHT MAHJ TO AUTOMATICALLY CHARGE THE PAYMENT METHOD PROVIDED FOR ALL APPLICABLE MEMBERSHIP RENEWAL FEES AND TAXES.
Membership automatically renews for successive one-year terms at the then-current Membership rate unless canceled prior to the renewal date.
Members are responsible for maintaining accurate payment information.
Cancellation prevents future renewals only and does not entitle the Member to a refund of any Membership fees already paid.
5. Membership Pricing Changes
Midnight Mahj reserves the right to adjust, modify, increase, decrease, or otherwise change Membership pricing, dues, fees, benefit structures, eligibility requirements, and program offerings at any time in its sole discretion.
Any pricing changes will generally apply beginning with the Member's next renewal term unless otherwise stated.
Continued Membership participation or renewal following notice of such changes constitutes acceptance of the revised pricing and Membership terms.
6. Membership Benefits
Membership benefits may include, but are not limited to:
Annual ticket credits
Early registration opportunities
Bring-a-Friend guest passes
Event discounts
Tournament early access
League discounts
Exclusive gifts
Member-only experiences
Benefits are subject to availability and may be modified, replaced, restricted, suspended, or discontinued at any time.
Membership benefits have no cash value unless expressly stated otherwise.
Unused benefits expire at the end of the Membership term.
7. No Guaranteed Number of Events
Membership does not guarantee any minimum number of events, gatherings, leagues, tournaments, classes, lessons, member experiences, or Midnight Mahj Nights during any Membership term.
Event schedules, event frequency, locations, venues, instructors, programming, and event formats may be modified at any time.
Additional events may be added or removed based on demand, venue availability, operational considerations, or other factors determined by Midnight Mahj.
8. Ticket Credits
Members receive twelve (12) annual ticket credits for eligible Midnight Mahj Nights registrations.
Ticket credits:
May only be redeemed by the active Member;
Are non-transferable and non-refundable;
May not be sold, exchanged, assigned, or redeemed for cash;
Expire at the end of the Membership term;
Do not roll over into future Membership periods.
Midnight Mahj reserves the right to determine eligible events and redemption procedures.
9. Bring-a-Friend Guest Passes
Guest passes are provided solely as a Membership benefit.
Guest passes:
Are valid only for eligible events designated by Midnight Mahj;
Are subject to availability;
Have no cash value;
May not be sold, transferred, exchanged, or redeemed for cash;
Expire at the end of the Membership term.
Midnight Mahj reserves the right to exclude certain events from guest pass eligibility.
10. Event Registration and Availability
Membership does not guarantee admission to any event.
All event participation remains subject to:
Venue capacity;
Ticket availability;
Registration deadlines;
Event-specific eligibility requirements;
Applicable laws and regulations.
Early registration access provides an opportunity to register before the general public but does not reserve or guarantee event admission.
11. Event Changes, Cancellations, and Force Majeure
Midnight Mahj reserves the right to modify, postpone, cancel, relocate, reschedule, or discontinue any event, offering, instructor, venue, format, or Membership benefit.
Midnight Mahj shall not be liable for delays, interruptions, cancellations, or inability to perform resulting from circumstances beyond its reasonable control, including but not limited to severe weather, natural disasters, public health emergencies, pandemics, government actions, labor disputes, venue closures, utility failures, transportation disruptions, supplier failures, civil unrest, acts of terrorism, war, or other force majeure events.
No refunds, damages, compensation, or replacement benefits shall be owed as a result of such events except where required by law.
12. Membership Is Personal
Membership is personal to the enrolled Member.
Memberships and Membership benefits may not be:
Shared;
Assigned;
Transferred;
Resold;
Licensed;
Used by any person other than the enrolled Member.
Midnight Mahj reserves the right to verify identity and Membership status at any time.
Misuse of Membership benefits may result in immediate suspension or termination without refund.
13. No Refunds
ALL MEMBERSHIP SALES ARE FINAL.
Membership fees are non-refundable and non-transferable.
No refunds, credits, partial refunds, or prorated reimbursements will be issued for:
Unused benefits;
Unused ticket credits;
Missed events;
Scheduling conflicts;
Relocation;
Changes in personal circumstances;
Membership cancellation;
Dissatisfaction with event availability.
14. Member Conduct and Termination
Members are expected to conduct themselves respectfully and professionally at all times.
Midnight Mahj reserves the right, in its sole discretion, to suspend, restrict, revoke, or terminate Membership immediately and without refund if a Member:
Violates this Agreement;
Engages in disruptive, abusive, threatening, discriminatory, harassing, or unsafe conduct;
Misuses Membership benefits;
Provides false information;
Resells or improperly shares Membership benefits;
Engages in conduct that may negatively impact Midnight Mahj, its attendees, venues, staff, instructors, partners, or reputation.
15. Photography and Media Release
Members acknowledge that Midnight Mahj events may be photographed, filmed, or otherwise recorded.

16. Assumption of Risk and Release of Liability
Participation in Membership activities and events is voluntary.
Member knowingly and voluntarily assumes all risks associated with participation in Midnight Mahj events and activities.
TO THE FULLEST EXTENT PERMITTED BY LAW, MEMBER RELEASES, WAIVES, DISCHARGES, AND AGREES TO HOLD HARMLESS MIDNIGHT MAHJ, ITS OWNERS, EMPLOYEES, CONTRACTORS, INSTRUCTORS, VOLUNTEERS, VENUE PARTNERS, AFFILIATES, SUCCESSORS, AND ASSIGNS FROM ANY AND ALL CLAIMS, DAMAGES, LOSSES, COSTS, EXPENSES, LIABILITIES, OR CAUSES OF ACTION ARISING FROM OR RELATED TO MEMBERSHIP OR EVENT PARTICIPATION, EXCEPT TO THE EXTENT CAUSED BY MIDNIGHT MAHJ'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIDNIGHT MAHJ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ECONOMIC DAMAGES.
IN NO EVENT SHALL MIDNIGHT MAHJ'S TOTAL LIABILITY EXCEED THE AMOUNT OF MEMBERSHIP FEES PAID BY THE MEMBER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
18. Chargebacks and Payment Disputes
Members agree to contact Midnight Mahj regarding billing concerns before initiating a chargeback or payment dispute.
Midnight Mahj reserves all rights available under law to recover unpaid balances, collection costs, administrative fees, attorneys' fees, and other expenses resulting from improper or fraudulent chargebacks.
19. Governing Law and Venue
This Agreement shall be governed by and construed under the laws of the State of Delaware.
Any dispute arising out of or relating to Membership or this Agreement shall be brought exclusively in the state or federal courts located in Delaware, and Member consents to the jurisdiction of such courts.
20. Class Action Waiver
To the fullest extent permitted by law, Member agrees that any claim relating to Membership shall be brought solely in an individual capacity and not as part of any class action, collective action, representative action, or consolidated proceeding.
21. Entire Agreement; Severability
This Agreement constitutes the complete and exclusive agreement between Midnight Mahj and the Member concerning Membership and supersedes all prior communications, representations, and understandings.
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
22. Rights Reserved
Midnight Mahj reserves all rights not expressly granted herein.
Failure by Midnight Mahj to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce such provision in the future.
By purchasing or renewing Membership, Member acknowledges and agrees to all terms contained in this Agreement.
